BYLAWS OF REFRACT
§1 Name
The name of the organization is REFRACT.
§2 Organizational Structure
REFRACT is a non-profit, non-commercial, and independent artistic platform.
§3 Purpose
The purpose of REFRACT is to develop, produce, and present artistic projects with a particular focus on queer expressions and perspectives.
The organization aims to increase the visibility of queer artists and make queer art accessible to a broad audience through both physical exhibition spaces and digital platforms.
§4 Activities
REFRACT operates on a project-based model involving art production, exhibitions, events, and artistic dissemination.
The organization’s activities may include:
physical exhibition spaces and events
digital platforms and exhibition spaces
presentation of artworks and artist profiles
collaboration with artists and cultural actors
REFRACT may engage in collaborations locally, nationally, and internationally.
§5 Participation and Membership
REFRACT is a project-based art platform. Participation in the organization’s activities may take place through projects, open calls, collaborations, or invitations.
REFRACT may establish a membership structure. Members shall have rights related to the organization’s governance, including participation in annual meetings should such participation be opened to members.
Participation on REFRACT’s digital platforms, including the creation of artist profiles and sharing of artwork, is open and independent of membership.
The board may establish additional guidelines regarding both membership and the use of the organization’s platforms.
§6 Board
REFRACT is governed by a board.
The board shall consist of a minimum of two members.
The board is responsible for the organization’s operations, finances, applications for funding, and strategic decisions. The board may appoint additional members if necessary.
§7 Finances
REFRACT is a non-profit organization without a profit motive.
Any surplus shall be used solely to support the organization’s purpose.
The organization may receive public and private grants, project funding, and other lawful sources of income.
§8 Signature Authority
Two board members jointly hold signing authority unless otherwise decided by the board.
§9 Annual Meeting
The annual meeting is the organization’s highest governing body. In the organization’s current phase, the annual meeting consists of the board. Should a membership structure be established, the annual meeting shall consist of the members.
The annual meeting shall:
approve the annual report and financial accounts
elect the board
process amendments to the bylaws
The annual meeting shall be held annually.
§10 Amendments to the Bylaws
These bylaws may be amended by a two-thirds majority vote at the annual meeting.
§11 Dissolution
In the event of the dissolution of REFRACT, the organization’s assets shall be transferred to a purpose aligned with the organization’s objectives.
